Esseco withdraws takeover bid for Ercros shares

Esseco decided to withdraw its takeover bid for 100% of Ercros’ share capital, which it submitted on June 28, 2024. Esseco’s decision is motivated by the conditions imposed by the National Commission on Markets and Competition (CNMC) for its authorisation.

On August 8, 2025, the Minister of Economy, Trade and Enterprise issued an Order agreeing not to submit the CNMC’s resolution of July 17 to the Council of Ministers, in which the CNMC agreed  to authorise the economic concentration resulting from the takeover bid only subject to compliance with certain conditions. The ministerial order renders the CNMC’s resolution effective, bringing an end to the economic concentration control procedure in Spain and enabling Esseco to withdraw the takeover bid, as it has done.
